Avero advises the shareholders of SharpCloud on the sale of the business to Lumivero

Sell-side advisor on the sale of a UK PE-backed platform to a US PE-backed strategic

Sub-sector: Strategic portfolio management software

Avero Advisory acted as sell-side M&A advisor to SharpCloud, portfolio company of YFM Equity Partners, on its sale to Lumivero, backed by TA Associates.

SharpCloud provides strategic roadmapping software, specialising in the visualisation of complex, disparate data, and turning project management into a clear, agile strategic process that drives mission-critical decision making. Founded in 2012, SharpCloud has grown to serve more than 100 organisations globally, with over 18,000 users.

Lumivero will integrate SharpCloud with its Predict! and @RISK products, delivering a first-of-its kind solution for project portfolio management and strategic decision making.

Robert Young, Managing Partner of Avero Advisory commented:

"SharpCloud is an exceptional business with a unique and compelling software platform, and Lumivero represents an excellent long-term partner for the business.

Selling to a US private equity backed strategic acquirer introduces complexity, and the strong collaboration between shareholders, management and advisors was critical in delivering an excellent outcome. We are delighted to have supported the journey and wish the team every success in the next phase of the business's growth."

Heath Davies, SharpCloud Chairman said:

"Avero led the transaction from day one with exceptional discipline – managing every workstream, setting the pace, and driving the timetable to completion.

Their advice on structuring and ability to negotiate key commercial and legal terms resulted in a materially better outcome for shareholders. They also earned the trust of every stakeholder involved, from our PE owner to the co-founders and management team. Above all, they showed absolute commitment throughout, delivering a first-class result."

The transaction demonstrates Avero's ability to deliver highly complex international transactions in the technology sector.
